With a modern decision-making and strategic planning structure, aligned with the best market practices, SIMPAR<\/strong> considers corporate governance to be an inducer of professionalism, innovation and achievement of the company\u2019s Mission, Vision and Values.<\/p>\n

Since 2010, we have been part of B3's Novo Mercado, which gives us a series of responsibilities in terms of ensuring transparency, fairness, corporate responsibility, and integrity in governance practices.<\/p>\n

We have an independent board specialized in Internal Controls, Risks and Compliance. The board reports the results of its work and its obligations to the Audit Committee of SIMPAR<\/strong> and the other subsidiaries that are listed on B3's Novo Mercado, in addition to maintaining the advisory support of the Ethics and Compliance Committee and the Internal Controls and Risks Committee.<\/p>\n

Compliance Program<\/h2>\n

In line with the best governance practices and with the guidelines of the Office of the Comptroller General, the Program is structured on the basis of pillars that aim to ensure the mechanisms and procedures are appropriate to the Company's structure.<\/p>\n

SIMPAR<\/strong>'s Compliance Program applies to all subsidiaries and aims to prevent, detect and remediate the occurrence of deviations, frauds, irregularities and illicit acts, mainly in the public environment, as well as to strengthen ethical principles and transparency standards.<\/p>\n<\/div>\n

Code of Conduct<\/h2>\n

SIMPAR<\/strong>'s Code of Conduct applies to everyone who maintains any connection or relationship with the company. It comprises a set of guidelines that portray our values and that should guide their actions. The topics covered include, among others: (i) compliance with laws and regulations; (ii) human rights; (iii) labor relations; (iv) employee conduct; (v) fighting corruption; (vi) conflict of interests; (vii) donations and sponsorships; (viii) gifts, gratuities, entertainment and hospitality; (ix) external relations (x) non-compliance and disciplinary measures; and (xi) whistleblower channel.<\/p>\n

Whistleblowing Channel<\/h2>\n

The Company's Whistleblowing Channel operates 24 (twenty-four) hours a day and 7 (seven) days a week a week. Whistleblowers can formalize their complaint through the following communication channels: phone, website, and e-mail, all managed exclusively by an outsourced company. Anonymity is guaranteed to whistleblowers acting in good faith, as well as the possibility of following up on the handling of the complaint independently by means of a protocol number.<\/p>\n

Risk Management Policy<\/h2>\n

The Risk Management Policy describes the steps of the management process for (i) identification of risk events, (ii) instruments used for risk management, (iii) organizational structure for risk management, and (iv) the responsibilities of each of those involved, establishing limits for responsibilities according to the levels of risk identified.<\/p>\n

The risk management practices adopted by the Company are reviewed annually and\/or whenever necessary by the Internal Controls, Risks, and Compliance Area.<\/p>\n
