Corporate governance is a fundamental pillar for business continuity and ongoing sustainable development.<\/p>\n\n\n\n

Since its foundation and throughout its entire history, including the IPO (still as JSL<\/strong>in 2010), the SIMPAR<\/strong> has made continuous progress in these practices. Today, the Group has a solid Corporate Governance structure, based on the best market references, including the Novo Mercado guidelines and the Code of Best Corporate Governance Practices of the Brazilian Institute of Corporate Governance (IBGC).<\/p>\n\n\n\n

The SIMPAR<\/strong> in relation to governance is rooted in business and investment strategies aimed at longevity and sustainable development. After all, one of the holding company's great strengths is its Management Model<\/strong> differentiated, which includes processes and instances to guarantee high standards of transparency, corporate responsibility, integrity, fairness and independence, as well as preventing conflicts of interest.<\/p>\n\n\n\n

The company joined the portfolio of the Corporate Sustainability Index (ISE B3) in 2021, being the only holding company in the logistics and transportation sector to join the index, and maintaining it in 2022.<\/p>\n\n\n\n

In addition, its commitment to excellence is evident in the maintenance of independent structures in its subsidiaries, with their own Boards of Directors and Committees (Audit, Finance, Ethics and Compliance, Sustainability and People and Culture). This is the case at JSL<\/strong>at Movida<\/strong> and Let's go<\/strong>all publicly traded companies listed on B3, the last two of which are members of the ISE.<\/p>\n\n\n\n

Governance Structure<\/strong><\/h2>\n\n\n\n

Looking at the SIMPAR<\/strong> And for our governance structure, we have the support of Advisory Committees and an external audit structure, as well as a Board of Directors that functions as the highest decision-making body related to Corporate Governance. <\/p>\n\n\n\n

Made up of five directors elected by the shareholders, two of whom are independent, the Board is responsible for defining sustainable development strategies and monitoring the social, environmental and financial practices of the companies in the group. SIMPAR<\/strong>It also defines policies, performance targets and executive remuneration.<\/p>\n\n\n\n

Risk assessment, internal control management and compliance with laws and regulations are also the responsibility of the Audit Board, which shares this mission with the Audit Committee. They meet regularly and receive information through the Advisory Committees.<\/p>\n\n\n\n

Our board members bring knowledge and experience from a wide range of sectors. The aim is to balance stakeholder expectations and continuously strengthen organizational competencies through this plurality of ideas.<\/p>\n\n\n\n

Sustainability Governance<\/strong><\/h2>\n\n\n\n

The company's sustainability governance is supported by specific committees at the holding company and subsidiaries, in addition to Working Groups<\/strong> and a Executive Sustainability Academy<\/strong>. The Company is also a signatory to the UN Global Compact<\/strong> and has anti-corruption policies that are disclosed internally and accessible to the public.<\/p>\n\n\n\n

As a practical management function to ensure compliance, the SIMPAR <\/strong>has established a matrix of risks and controls related to corruption, which is reviewed periodically. In its latest update, ESG factors were incorporated, which follow the highest standard requirements. As a result of these efforts, by 2022 SIMPAR <\/strong>joined the CEBDS <\/strong>(Brazilian Business Council for Sustainable Development) and saw several of the Group's executives take part in COP-27.<\/p>\n\n\n\n

Code of Conduct<\/strong><\/h2>\n\n\n\n

None of this would be possible to translate into day-to-day operations without the help of a concise and well-founded manual. That's why SIMPAR Code of Conduct <\/strong>guides all those involved in the business in a clear and didactic way, avoiding actions contrary to legislation and company policies, as well as clarifying interpretations that could compromise ethics and integrity.<\/p>\n\n\n\n

The Code provides essential guidelines, such as compliance with laws and regulations, non-discrimination, respect for human rights, labor relations, combating corruption, unfair competition, conflicts of interest, donations and sponsorships, gifts and entertainment, external relations, non-compliance and disciplinary measures, as well as informing about the communication channels of the Compliance Program.<\/p>\n\n\n\n

Furthermore, in a clear demonstration of compliance with the law in all its interactions, the SIMPAR<\/strong> also has a Code of Conduct for Third Parties<\/strong>.<\/p>\n\n\n\n
