Simpar (SIMH3) announced last Friday (22) that the merger between Automob and Vamos Concessionárias was approved at the AGM of Vamos (VAMO3). The reorganization consists of integrating Vamos' dealership business with Automob, creating a new company within the Simpar group listed on the Novo Mercado.
The meeting was attended by 78% of Vamos' shareholders, including Simpar with 56% and the minority shareholders with 22% (representing 60% of the total minority shareholders). The approval came after 91.6% of the minority shareholders present supported the transaction.
XP's analysis team said it was pleased to see the transaction approved for both Simpar and Vamos, given its strategic context, although it believes that, by now, this was the outcome expected by most market participants.
XP points out that both minority participation (60% of the total) and the approval rate (92%) were surprisingly high.
The brokerage also said that it believed that this was the most important step in concluding the transaction, although the conditions precedent are still pending (including CVM approval for the listing of the new company).
JPMorgan also evaluates the operation as positive for Vamos' shares, as it eliminates the impact of completing the operation, allowing the company to focus on the rental sector, creating a simpler structure and improving the visibility of results.
